Terms of Service
These Terms of Service ("Terms") govern your access to and use of the services provided by Luna ("Luna," "we," "us," or "our").
By purchasing, accessing, or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use our services.
1. About Luna
Luna is an AI-powered lead-reactivation service for local trade businesses (including plumbing, electrical, solar, roofing, automotive, and HVAC). Luna uses AI-driven voice, SMS, and email outreach to re-engage dormant leads already in a customer's CRM and books qualifying leads onto the customer's calendar.
2. Eligibility
Our services are intended for business customers only.
By using our services, you represent and warrant that:
- You are using the services on behalf of a business or organization;
- You have the legal authority to enter into these Terms on behalf of that business or organization;
- You have the legal capacity to enter into a binding agreement; and
- Your use of the services complies with applicable laws and regulations.
We reserve the right to refuse service where we reasonably believe these requirements are not satisfied.
3. Our Services
Luna provides AI-powered lead-reactivation services, which may include:
- Auditing and scoring dormant leads already present in a customer's CRM;
- Automated outreach to those leads by AI-driven voice calls, SMS, and email;
- Appointment scheduling and booking of qualifying leads onto the customer's calendar;
- CRM-related automation and integrations necessary to deliver the above; and
- Other related services agreed upon between Luna and the customer.
The specific services provided to a customer may depend on the customer's audit, service agreement, or other arrangement with Luna.
4. Account and Access
Certain services may require you to create or maintain an account.
You are responsible for:
- Providing accurate information;
- Maintaining the security of your account credentials;
- Preventing unauthorized access to your account;
- Ensuring that individuals using your account comply with these Terms; and
- Notifying us promptly if you believe your account has been compromised.
You are responsible for activity conducted through your account unless the activity resulted from circumstances outside your reasonable control.
5. Payment Terms
Luna's pricing has three components, as set out in your service agreement: a one-time setup fee, a recurring monthly subscription fee, and a usage fee billed on qualifying results (leads it reactivates that convert into a booked appointment or job).
Unless otherwise agreed in writing, Luna charges the setup fee when your service begins, charges the subscription fee on a recurring monthly basis regardless of results, and invoices the usage fee as qualifying results occur. You authorize Luna or its payment processor to charge each of these amounts.
Taxes
You are responsible for any applicable taxes, duties, or government charges associated with your purchase, except taxes imposed on Luna's net income.
Failed Payments
If a payment fails, we may attempt to process the payment again and may suspend or restrict access to the affected services until outstanding amounts are paid.
6. Free Audit
Luna offers a free, no-obligation audit of a prospective customer's dormant leads. The audit itself carries no cost and does not obligate you to purchase any service.
If you proceed to a paid engagement after your audit, the payment terms described in Section 5 apply.
7. Refunds
The setup fee and each month's subscription fee are generally non-refundable once charged, unless Luna expressly agrees otherwise in writing or a refund is required by applicable law. Usage fees are invoiced only after Luna delivers a qualifying result (a booked appointment or job), and amounts already invoiced for a delivered result are generally non-refundable on the same basis.
This policy does not limit any mandatory consumer or other legal rights that cannot lawfully be excluded.
8. Cancellation
You may cancel your services at any time by contacting Luna. Cancellation stops future subscription charges as of your next billing cycle, unless otherwise agreed in writing.
Luna may also cancel or terminate your services at any time, subject to applicable law and any specific written agreement with you.
Cancellation does not affect the setup fee, any subscription fees already charged, or usage fees already invoiced for jobs booked prior to cancellation, and does not entitle you to a refund of amounts already paid.
9. Acceptable Use
You agree to use Luna's services only for lawful and legitimate business purposes.
You may not use our services to:
- Violate any applicable law or regulation;
- Commit or facilitate fraud, scams, or other unlawful activity;
- Harass, threaten, abuse, or harm another person;
- Generate or distribute harmful or unlawful content;
- Send spam or unauthorized communications;
- Infringe or violate another person's intellectual property rights;
- Violate privacy or data-protection rights;
- Impersonate another person or organization unlawfully;

- Interfere with or disrupt our services;
- Reverse engineer or attempt to extract source code from our systems;
- Circumvent usage restrictions or security measures;
- Use our services to create competing products by copying our proprietary systems;

We may investigate suspected violations and take appropriate action.
10. Customer Responsibilities
You are responsible for your use of our services and for the information, instructions, content, and data that you provide to Luna.
You represent and warrant that you have the necessary rights, permissions, and lawful authority to provide any information or content that you submit to our services.
You are also responsible for ensuring that your use of AI-powered systems complies with laws applicable to your business, industry, customers, employees, and communications. You should not use our services to process sensitive information unless the applicable service and agreement expressly permit it.
You represent and warrant that the leads you provide to Luna for outreach are your own existing leads or customers, and that you have an appropriate legal basis and any consent necessary to have Luna contact them by voice, SMS, or email on your behalf under telemarketing, anti-spam, and consent laws applicable to you (such as the TCPA in the United States or CASL in Canada). This is not legal advice; consult your own counsel if you are unsure whether your lead list can be lawfully re-contacted.
11. AI Services and AI Outputs
Our services may use artificial intelligence and machine-learning technologies.
AI systems can produce inaccurate, incomplete, misleading, outdated, or inappropriate results.
Luna does not guarantee that AI-generated outputs will always be accurate, reliable, complete, appropriate, or error-free.
You are responsible for reviewing and determining whether AI-generated information or actions are appropriate for your business before relying on them.
Luna is not responsible for decisions made by you or your customers based solely on AI-generated information.
Where our AI systems communicate with your customers, you remain responsible for ensuring that those communications are appropriate and legally compliant for your business.
12. AI Outreach Systems
Luna's AI systems may call, text, and email your dormant leads on your behalf to reactivate them.
Depending on your configuration, these systems may:
- Qualify leads;
- Answer questions;
- Schedule appointments;
- Send follow-up messages; or
- Take other actions configured by you or Luna.
You are responsible for reviewing and approving the instructions, scripts, and workflows used by your AI outreach systems.
You acknowledge that automated systems may occasionally misunderstand a request, provide incorrect information, fail to respond appropriately, or experience technical interruptions.

You retain ownership of content, data, information, materials, trademarks, and other intellectual property that you provide to Luna ("Customer Content").
You grant Luna the limited rights necessary to use, process, store, transmit, modify, and otherwise handle Customer Content solely as reasonably necessary to provide, maintain, secure, and improve the services.
You represent that you have the necessary rights and permissions to provide Customer Content to us.
AI Outputs
Subject to applicable law and the terms of any third-party AI providers, Luna grants you the right to use AI-generated outputs produced specifically for your business through our services for your legitimate business purposes.
This does not transfer ownership of Luna's underlying software, AI models, systems, workflows, or technology.
Where AI-generated content incorporates third-party material or is subject to third-party rights, your use may be subject to those third-party rights.
14. Feedback
If you provide suggestions, ideas, recommendations, or other feedback regarding Luna's services, you agree that we may use that feedback without restriction or compensation to you.

Your use of certain third-party services may also be subject to those providers' own terms and policies.
16. Service Availability
We aim to provide reliable services, but we do not guarantee that our services will always be available, uninterrupted, secure, or error-free.
Services may occasionally be unavailable because of:
- Maintenance;
- Updates;
- Technical problems;
- Internet or infrastructure failures;
- Third-party provider outages;
- Security incidents;
- Force majeure events; or
- Other circumstances outside our reasonable control.
We may modify, suspend, or discontinue portions of our services when reasonably necessary.
17. Changes to Services
Luna may modify, improve, replace, add, or remove features from its services at any time.
We may also update our AI systems, models, integrations, workflows, or technology.
Where a change materially affects a paid service, we will make reasonable efforts to provide notice where appropriate.
18. Confidentiality
Each party agrees to take reasonable steps to protect confidential information received from the other party.
Confidential information does not include information that:
- Is publicly available;
- Was already lawfully known;
- Is independently developed without using confidential information; or
- Must be disclosed by law or lawful government order.
This section does not prevent Luna from using information as necessary to provide its services or as otherwise permitted by these Terms and our Privacy Policy.
19. Privacy and Data Protection
Your use of Luna's services is also subject to our Privacy Policy.
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.
Where you provide Luna with personal information belonging to your customers, employees, or other individuals, you are responsible for ensuring that you have an appropriate legal basis and any necessary permissions or consents to provide that information to us and to use our services.
20. No Professional Advice
Luna's services are technology and automation services.
Unless expressly stated otherwise, our services do not constitute legal, financial, medical, tax, accounting, employment, or other professional advice. You should obtain advice from an appropriately qualified professional when necessary.
21. Disclaimers
To the maximum extent permitted by applicable law, Luna provides its services on an "as is" and "as available" basis.
We do not guarantee that:
- Our services will meet every business requirement;

Any examples of potential business results are illustrative only and are not guarantees of future performance.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Luna and its owners, employees, contractors, affiliates, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the services.
This may include losses relating to:

- Business interruption;
- Loss of customers;

- Decisions made using AI outputs;

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Luna and its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:

You may terminate your services at any time.
Upon termination, your right to access and use the applicable services will end.
25. Effect of Termination
Termination does not eliminate obligations that arose before termination.
Sections relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive termination will continue to apply.
26. Governing Law
These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict-of-law principles.
To the extent permitted by applicable law, disputes relating to these Terms or the services will be subject to the jurisdiction of the courts located in Quebec, Canada.
Nothing in this section prevents a party from seeking urgent or equitable relief where legally available.
27. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the "Last Updated" date.
Where appropriate, we may provide additional notice of material changes. Your continued use of the services after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
28. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose where legally possible.
29. Entire Agreement
These Terms, together with any applicable service agreement, order form, and our Privacy Policy, constitute the agreement between you and Luna regarding the services.
If there is a conflict between these Terms and a separately signed written agreement, the signed agreement will control to the extent of the conflict.
30. No Waiver
If Luna does not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.
31. Assignment
You may not transfer or assign your rights or obligations under these Terms without Luna's prior written consent, except where otherwise permitted by applicable law.
Luna may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction.
